Siemens Energy AG (“Siemens Energy”), a global leading energy technology company (ETR: ENR), has acquired EUTO Energy B.V. (“EUTO Energy”), a company specialising in software-defined substation solutions shaping the future of power transmission and control.

The constraint on the energy transition has shifted from energy generation to grid capacity. Driven by AI infrastructure, hyperscale data centres and electrification, electricity demand is accelerating faster than power grids can expand, placing existing critical networks under increasing pressure. The European Commission estimates that EUR 660 billion of annual investment will be required through 2030 to meet Europe’s energy transition targets. However, additional infrastructure investment on its own will not be sufficient. Maximising the performance and capacity of existing power grids will be equally critical.

Founded in Istanbul in 2017, EUTO Energy has spent over a decade developing and validating software-defined substation technology for critical power transmission and distribution infrastructure. The company has developed a unique platform that virtualises protection, automation and control functions traditionally embedded in dedicated substation hardware. Built on open, non-proprietary architectures and 100% vendor-agnostic, the platform enables power grid operators to manage substations as centrally orchestrated, cybersecure software systems. This software-defined approach enables operators to modernise grid infrastructure faster than traditional substation solutions, reduce total cost of ownership, and unlock more of the existing grid capacity. The result is a more resilient, efficient and flexible power grid that helps address growing congestion and electrification challenges.

By adding EUTO Energy’s software-defined substation platform to its portfolio, Siemens Energy acquires a critical digital capability that enables grid operators to modernise protection, automation and control systems, optimise existing grid assets and accelerate the transition towards digital substations. Combined with Siemens Energy’s global customer base, installed footprint and deep expertise across grid infrastructure, the transaction creates a powerful platform to accelerate the adoption of software-defined grid architectures worldwide.

IMPROVED acted as exclusive corporate finance advisor to EUTO Energy throughout the transaction process, supporting the company from strategic positioning through to the successful completion of the sale to Siemens Energy. The transaction builds on IMPROVED’s track record in power systems, grid technologies and the broader energy infrastructure ecosystem. We foresee the acquisition and investment activity to accelerate following some recent other transactions in the space.

"At Euto Energy, our vision from the very beginning has been to bring software-defined agility and resilience to critical grid infrastructure. The virtualized protection and control platform the Euto team has built today is a validated solution to one of the industry's most pressing bottlenecks. By integrating our technology with Siemens Energy’s unmatched global footprint, domain expertise, and, more importantly, their future grid vision, we will scale our capabilities worldwide and reach a unique position to drive the digital future of energy networks."

Ali Karademir

Founder & CEO, EUTO Energy

“We are convinced that the future of power grids will be defined as much by digitalisation as by physical infrastructure. In this dynamic environment, we need to adapt quickly. That is why we are constantly strengthening our existing portfolio. With the acquisition of Euto Energy, we are adding yet another building block for the grid of the future.”

Adnan Chaudhry

Senior Vice President Digital Grid, Siemens Energy

“Congratulations to EUTO Energy and Ali on this landmark transaction in the power distribution and control domain. It was a pleasure working together last few months, and advising EUTO on this exciting transaction with Siemens Energy. IMPROVED continues to build out its presence in the international power infrastructure domain. We are keen to support promising companies and their shareholders in deciding on strategic scenarios and supporting their execution. There is more to come in this exciting domain.”
